Dhruv Consultancy Services has informed that the Board of Directors of Dhruv Consultancy Services (DHRUV) in their meeting held today i.e. October 12, 2026, has approved Incorporation of 3 (Three) Subsidiary Company(ies) with the name and style (i) ‘Valsang Drivehub Private Limited’, (ii) ‘Latur Drivehub Private Limited’ or ‘Latur Waysides Amenities Private Limited’ and (iii) ‘Hottalwadi Drivehub Private limited’ (collectively, the ‘Proposed Companies under Incorporation’) subject to approval of the respective names by the Ministry of Corporate Affairs and completion of necessary statutory and regulatory formalities covering the issuance of Certificate of Incorporation(s) by the MCA. The detailed information as required under Regulation 30 read with events specified in Part A of Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, as amended, are enclosed herewith as ‘Annexure-A’. The company shall submit the separate disclosure to the stock exchanges upon ‘Incorporation’ of the respective proposed company and upon the actual investment/subscription being made therein, in accordance with the applicable provisions of SEBI (LODR) Regulations,2015, along with the XBRL submissions. The Board further approved the investment of up to max ?3,00,00,000 (Rupees Three Crores) in each of the Proposed Companies, which shall be made and executed in a phased manner and in different tranches, as may be required from time to time, subject to applicable statutory and regulatory requirements.
