Octav Investments Ltd. an RPG Group company was originally incorporated on January 24, 2003 as MP Power under the Companies Act, 1956 and converted into public Limited Company having duly passed the necessary resolution on August 2, 2007 and having obtained fresh certificate of incorporation on September 18, 2007 consequent upon change of name on conversion to Public Limited Company. The name of the company has been changed to Octav Investments Limited on January 10, 2008 pursuant to a fresh Certificate of Incorporation consequent upon change of name obtained from the Ministry of Corporate Affairs, Registrar of Companies, Maharashtra, Mumbai.

The investment division of KEC, was de-merged into a separate company, viz. Octav Investments Ltd., that would be listed. The Scheme of Arrangement between KEC, RPG Transmission (RPGT) & National Information Technologies Limited (NITEL) and MP Power Line Limited, now called Octav Investments Ltd., become effective as of 1st of October, 2007.  The Scheme of Arrangement was completed in record time of less than 6 months.

The scheme of amalgamation was affected with a swap ratio of 4 KEC International Ltd. (KEC) shares of Rs. 10 each for 9 RPGT shares of Rs. 10 each; 2 KEC shares of Rs. 10 each for 15 NITEL shares of Re.1 each and KEC shareholders got  2 shares of Rs. 10 each of Octav Investments Ltd. for every 25 shares of KEC held by them.

The company was incorporated to carry on the business of a holding and investment company, to buy, subscribe, acquire, accept, undertake, underwrite, invest in, hold, sell, disinvest, exchange, surrender, auction or otherwise deal in all types of stocks, shares, securities, scrips, derivatives, warrants, certificates, premium notes, mortgages, obligations, debt instruments, bonds, debentures, deposits including inter corporate deposits, call money deposits, public deposits, policies, book-debts, claims, commercial papers, government or commercial security or any other financial or investment instruments issued by any bank.

Also to secure, execute, build, setup the power projects including power transmission and distribution in India and abroad and to provide consultancy, projects implementation and operational services in the field of generation, transmission, distribution of electricity, and/or services associated with all forms of energy and any such products and by-products related to such business, and all types of energy equipments and systems including mechanical, electrical and instrumentation disciplines.
