Tata Chemicals soars on selling urea business to Yara Fertilisers

Tata Chemicals is currently trading at Rs. 501.05, up by 38.05 points or 8.22% from its previous closing of Rs. 463.00 on the BSE.

The scrip opened at Rs. 466.00 and has touched a high and low of Rs. 503.00 and Rs. 456.50 respectively. So far 7,13,000 shares were traded on the counter.

The BSE group 'A' stock of face value Rs. 10 has touched a 52 week high of Rs. 503.00 on 10-Aug-2016 and a 52 week low of Rs. 310.05 on 26-Feb-2016.

Last one week high and low of the scrip stood at Rs. 503.00 and Rs. 453.70 respectively. The current market cap of the company is Rs. 12,756.92 crore.

The promoters holding in the company stood at 30.94%, while Institutions and Non-Institutions held 47.94% and 21.12% respectively.

Tata Chemicals has sold its business of sale and distribution of Urea and customized fertilizers, manufactured at its plants located in Babrala, Uttar Pradesh, by way of a slump sale to Yara Fertilisers India pursuant to a scheme of arrangement approved by the Board subject to all requisite regulatory and other approvals and sanction by the High Court/ National Company Law Tribunal (NCLT) in the manner agreed by the Company and Yara.

The Urea Business along with the assets, liabilities, contracts, deeds etc., shall be transferred and vested with Yara India pursuant to the Scheme becoming effective on a slump sale basis i.e., in exchange of a lump sum consideration to be paid by Yara India to the company, on the terms and conditions as agreed between by the company and Yara.

The lump sum consideration for the transfer of the Urea Business of the company by way of a slump sale pursuant to the Scheme is Rs 2670 crore, subject to certain adjustments after closing, as agreed between the parties in terms of the definitive agreements and the Scheme.
