Kingfisher Airlines partly converts 8% OCDs into equity shares

Kingfisher Airlines’ board has allotted 30,300,000 equity shares of the Company to Star Investments arising out of conversion of 7,159,890 Optionally Convertible Debentures (OCDs). The board has allotted 5,342,361 equity shares of the Company to Amar Nath Jhunjhunwala arising out of conversion of 1,262,400 OCDs at a price of Rs 23.63 per equity share taking into account a relevant date of March 11, 2012, which is 30 days prior to the date on which both the parties became entitled to apply for equity shares of the Company.

The Company had allotted a total of 70,931,985 8% Optionally Convertible Debentures of the face value of Rs 100 to certain entities on January 03, 2011. On April 10, 2012, the Company had written to the OCD holders informing them that they would be entitled to exercise their option to convert part of the OCDs held by them into equity shares of the Company between April 10, 2012 and April 13, 2012, subject to not triggering an open offer under the SEBI.

Post-allotment, the paid up equity share capital of the company stands increased to Rs 613.28 crore divided into 6.13 crore equity shares of Rs 10 each, fully paid up, from the existing paid up share capital of Rs 577.65 divided into 57.76 equity shares of Rs 10 each, fully paid up.
