In continuation of letter dated February 03, 2020 Borosil Glass Works has informed that the Company has appointed five new Additional and Independent Directors namely Raj Kumar Jain, Shalini Kamath, Pradeep Vasudev Bhide, Asif Syed Ibrahim and Haigreve Khaitan. They are Independent Directors of Gujarat Borosil which Company is in solar glass business and is amalgamating with its Company. The company also refer to its letter dated 4th February, 2020, whereby the company informed that the Resulting Company under the Scheme namely Borosil has appointed Naveen Kumar Kshatriya, Anupa Sahney, Kanwar Bir Singh Anand, and Kewal Kundanlal Handa, existing Independent Directors of the Company, who are familiar with Scientific and Industrial products and Consumer products businesses, as Borosil's Independent Directors. Once the Composite Scheme is implemented, the Company will incorporate the Solar Glass business whereas its existing Scientific and Industrial products and Consumer products business will demerge into Borosil. Borosil has already inducted the four persons mentioned above as Independent Directors on their Board for their expertise, since they are acquainted with Scientific and Industrial products and Consumer product business of Company. As such, they have thought it fit to resign from the Board of the Company. The company has enclosed the copy of their resignation letters mentioning that there is no other reason other than mentioned above for their resignation. Their resignations are effective from February 6, 2020.
