HLV has informed that the Company has received an intimation regarding inter-se transfer of shares between two promoter group companies, Leela Lace Holdings (Transferor) and Universal Hotels &Resort (Transferee), more details of which are enclosed. This being an inter-se transfer of shares amongst the promoter group, the same falls within the exemptions (under Regulation 10(1)(d)(iii) of SEBI (SAST) Regulation, 2011. The nature of transaction is through off-market transaction amongst the promoters. The aggregate shareholding of promoter group before and after the above inter-se transfer remains the same. In this regard, the disclosure under Regulation 10(6) for the above said acquisition in the prescribed format, as submitted by the Acquirer is enclosed for the information and record.
