Ajanta Soya has informed that the 29th Annual General Meeting (AGM) of the members of the Company will be held on Wednesday, 30th September, 2020 at 12:30 pm through Video Conferencing (VC)/ Other Audio-Visual Means (OAVM), to transact the business(s) as specified in AGM Notice, pursuant to circulars issued by the Ministry of Corporate Affairs (MCA) and the Securities and Exchange Board of India (SEBI). The Company enclosed notice of 29th Annual General Meeting of the Company. In terms of Regulation 42 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and pursuant to section 91 of the Companies Act, 2013, as amended from time to time, the Register of Members and Share Transfer Books of the Company will remain closed from Wednesday, 23rd September 2020 to Wednesday, 30th September 2020 for the purpose of the 29th Annual General Meeting of the Company. Further, Pursuant to Section 108 of the Companies act 2013 and Rule 20 of The Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time, the Company is pleased to provide remote e-voting facility to its Members enabling them to cast their vote for all the resolutions as set in the Annual General Meeting Notice provided by the NSDL. The e-voting period commences on 27th September, 2020 at 9:00 am and ends on 29th September, 2020 at 5:00 pm. Further, electronic voting facility shall also be available at the AGM and will also be provided by the NSDL. The members who have already cast their vote through remote e-voting prior to the AGM may also attend the AGM through Video Conferencing (VC)/Other Audio Visual Means (OAVM) but shall not be entitled to cast their vote at the AGM. The voting rights of members shall be in proportion to their shares of the paid-up equity share capital of the Company as on ‘cut-off date' i.e. Wednesday, 23rd September 2020.
