New Delhi Television has informed that NDTV founders Radhika and Prannoy Roy have, in the matter of the notice dated August 23, 2022 issued by Vishvapradhan Commercial (VCPL), for exercise of conversion option of warrants into equity shares of promoter group vehicle RRPR Holding (RRPRH) which owns 29.18% equity interests in NDTV, informed NDTV, as follows: Restrictions are in force, under SEBI order dated November 27, 2020, in relation to the NDTV founders buying, selling or otherwise dealing in securities, directly or indirectly, or being associated with the securities market in any manner whatsoever for a period of 2 years, with restraint on existing holding of securities, including units of mutual funds, under freeze by SEBI; SEBI approval is, therefore, considered a necessary precursor to VCPL entitlement to convert warrants into equity shares for acquiring 99.5% of the founders' company RRPRH, for the duration the SEBI order dated November 27, 2020 remains in force.
