In terms of Regulation 29 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Justride Enterprises has informed that the meeting of the Board of Directors of the Company is scheduled to be held on Saturday, April 8, 2023, at the registered office of the Company, to transact following businesses: to consider and evaluate proposal for raising of funds by the Company through one or more permissible mechanisms as may be deemed appropriate by the Board, by way of issuance of equity shares and / or other securities including share warrants and / or any other equity based instruments / securities including through preferential issue, right issue, private placement, or through any other permissible mode or any combination thereof, in one or more trenches, subject to receipt of regulatory / statutory / shareholders approvals, as may be required; to appoint requisite professionals, experts, merchant bankers, legal advisors and other intermediaries for fund raising; to increase the Authorized Share Capital of the Company and consequent amendments in Capital Clause of the Memorandum of Association; to seek members’ requisite approval by convening an Extra-ordinary General Meeting, approve draft notice thereof and other matters connected therewith and/or incidental thereto; and to consider any other matter, with the permission of the Chair.
