Chavan Centre, General Jagannath Bhosale Marg, Next to Sachivalaya Gymkhana, Mumbai 400021, have approved the following: Arun Nanda (DIN: 00010029), Non-Executive Non-Independent Director & Chairman of the Company, who had expressed his desire not to seek re-appointment, has ceased to hold office as a Non-Executive Non-Independent Director and Chairman of the Company from the conclusion of the 27th AGM of the Company. (Annexure A) and Appointment of C.P. Gurnani (DIN: 00018234) as the Non-Executive Non-Independent Director of the Company, who shall be liable to retire by rotation. (Annexure B). The details as required under the SEBI Listing Regulations read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015 and SEBI Master Circular No. SEBI/HO/CFD/CFDPoD-1/P/CIR/2023/123 dated July 13, 2023 are given in Annexure A and Annexure B to this letter. The aforesaid information will also be disclosed on the website of the Company at www.clubmahindra.com.
