Kamdhenu has informed that it enclosed Notice of the 01/2023-24 Extra - Ordinary General Meeting of the Company, along with Explanatory Statement and e-voting instructions (EGM Notice), scheduled to be held on Thursday, 8th February, 2024 at 11:00 am (IST), through Video Conferencing (VC)/ Other Audio Visual Means (OAVM) in compliance with various Circulars issued by Ministry of Corporate Affairs and Securities Exchange Board of India. The EGM Notice is being sent only by email to all the shareholders of the Company whose names are registered with the Company or Depository Participants and whose names appears in the register of members as on the cut-off date, Friday, 12th January, 2024. Further, informed that pursuant to the provisions of Section 108 of Companies Act, 2013 and Regulation 44 of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, as amended, the Company is pleased to provide to its members, the facility to vote on resolutions proposed to be passed at the EGM by electronic means through remote e-voting and/or through voting at the EGM (Instapoll). The e-voting shall commence on Monday, 5th February, 2024 at 09:00 AM (IST) and will end on Wednesday, 7th February, 2024 at 05:00 P.M (IST). The detailed instructions for the e-voting are given in the Notice of the 01/2023-24 Extra-Ordinary General Meeting. The members whose names are registered with the Company / Depository Participants and whose names appears in the register of members as on the cut-off date, Thursday, 1st February, 2024 shall be entitled to vote on the resolutions proposed to be passed at the EGM. The EGM Notice along with explanatory statements and e-voting instructions is available on the website of the Company www.kamdhenulimited.com , as well as on the website of the stock exchanges, BSE at www.bseindia.com and National Stock Exchange of India at www.nseindia.com and on the website of the National Securities Depository Limited (NSDL), at www.evoting.nsdl.com
