In continuation of its letter dated February 09, 2024 and Pursuant to Schedule III, read with, the Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, Royal Orchid Hotels has informed that it enclosed a copy of the Postal Ballot Notice dated February 23, 2024, along with the Explanatory Statement (‘Postal Ballot Notice’), being despatched today i.e. February 23, 2024, for seeking the approval of the members on the Special Business as contained in the Postal Ballot Notice. In accordance with circulars issued by Ministry of Corporate Affairs, from time to time, the postal ballot notice is being sent only in electronic form to Members whose email addresses are registered with their depository participants (in case of electronic shareholding)/the Company’s Registrar and Transfer Agent (in case of physical shareholding) and whose names are recorded in the Register of Members/List of Beneficial Owners as on Friday, 16th February, 2024. The Company has engaged the services of Central Depository Services (India) (CDSL) to provide e-voting facility to its members.
