Pursuant to the said Report, it appears that the following resolutions have been approved by the Members of the Company with the requisite majority; To receive, consider and adopt the Audited Financial Statements of the Company for the Financial Year ended March 31, 2024, together with the Reports of the Board of Directors and Auditors thereon; To declare Final Dividend of ? 2.60 (Rupees Two and Sixty Paise only) per equity share of face value ?5 each, of the Company for the Financial Year ended March 31, 2024; To appoint a director in place of Sanjay Bhalchandra Divgi (DIN: 00471465), who retires by rotation in terms of Section 152 of the Companies Act, 2013 and being eligible, offers himself for re-appointment.
