In accordance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Shri Bajrang Alliance has informed that the company has received the Deed of Partition from Jainarayan Hariram Goel and Sons HUF (HUF), a member of the promoter group of Shri Bajrang Alliance. This deed is effective from January 31, 2025. Due to the complete partition, the HUF's entire shareholding in the company i.e., 566100 shares (6.29% of total paid-up capital) will be transferred to Suresh Goel, the Karta of the HUF. Suresh Goel is a promoter of the company. This partition will constitutes an inter-se share transfer among promoter (r-.1r. Sureh Goel) and the promoter group (Jainarayan Hariram Goel and Sons HUF), thus qualifying for the exemption under Regulation 10(1)(a)(ii) of the SEBI (SAST) Regulations, 2011. Furthermore, it is to be noted that this agreement will not alter the company's management or control.
