Thangamayil Jewellery has informed that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company in their meeting held today, March 14, 2025 has approved the re-appointment of S.M. Chandrasekaran (DIN: 08719332) as an Independent Director of the Company for a term of 5 years with effect from March 14, 2025, subject to approval of the shareholders. This will be his second term for 5 years. S.M. Chandrasekaran has confirmed that he meets the criteria of 'independence' under Section 149 of the Companies Act, 2013, and Regulation 16 of the Listing Regulations. Further,he has also confirmed that he has not been debarred from holding the office of Director by virtue of any Order passed by the Securities and Exchange Board of India or any other such authority.
