In compliance with the provisions of Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Inter State Oil Carrier has informed that Pooja Sarda (DIN: 05344423) will cease to be an Independent Director of the Company upon completion of her second and final term of 5 years with effect from the closing of business hours on 31st March 2025. The Board of Directors of the Company expressed their profound gratitude for the remarkable contributions made by that Pooja Sarda during her tenure as an Independent Director. The requisite details as required under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular CIR/CFD/CMD/4/2015 dated September 9, 2015 are enclosed as ‘Annexure-A’. Further, as communicated in its letter dated 10th February 2025, titled ‘Outcome of Board Meeting held on 10th February 2025,’ Parul Khanna (DIN: 10898720) has been appointed as an Additional Director, designated as a Non-Executive Non-Independent Director, with effect from Tuesday, 1st April 2025. Consequently, the reconstitution of the Audit Committee, Stakeholders Relationship Committee, and Nomination & Remuneration Committee shall also be effective from 1st April 2025. Compliance of Regulation 17, 18, 19 and 20 of the Listing Regulations is not applicable for the Company as the paid - up equity share capital and net worth of the Company is below the prescribed limit as mentioned in Regulation 15(2) of SEBI (LODR) Regulations, 2015.)
