Pursuant to the provisions of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 Garware Marine Industries has informed that the Board Meeting held, today,22nd April, 2025 has approved the following resolutions: 1. Approved the proposal to issue ‘Corporate Guarantee’ on behalf of GLOBAL OFFSHORE SERVICES (Entity with common Director and Promoters), for a loan to be availed by them; 2. In reference to the above resolution, approved the resolutions as per the provisions of Section 185 and 186 of the Companies Act, 2013 and recommended the same for members approval; 3. Approved the above mentioned ‘Related Party Transaction’ being ‘Material Related Party Transaction’ (duly approved by the Audit Committee) and recommended the same for members approval; 4. Approved 16 May, 2025 as the date of Extra Ordinary General Meeting to pass the Resolutions under section 185, 186 and 188 as approved by the Board. The Board Meeting commenced at 11.50 am and concluded at 13.35 pm via video conference.
