Pursuant to Regulation 30 read with schedule III of the SEBI (Listing Obligations and Disclosure Requirements[ Regulations, 2015, Nitin Spinners has informed that the investment committee of Board of Directors of the Company has approved execution of Power Supply Agreement & Share Purchase Agreement with CGE II Hybrid Energy Private Limited. The details as required under SEB! (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11 November; 2024 regarding details of Acquisition is given in Annexure A to this letter. The Meeting commenced at 11:30 am and concluded at 12:30 am.
