Asian Paints has informed that the Board of Directors of the company, at their meeting held today Tuesday, 29th July 2025 have, approved the Scheme of Amalgamation of Asian Paints (Polymers), (‘Transferor Company’ or ‘AP Polymers’), wholly - owned subsidiary of Asian Paints ('Transferee Company' or 'Company') with the Company in accordance with the provisions of the Companies Act, 2013 and other applicable laws. The Scheme of Amalgamation is subject to requisite statutory and regulatory approvals, including approval of the Hon’ble National Company Law Tribunal, Mumbai. The proposed amalgamation will not have any material impact on the financials of the Company. In compliance with Regulation 30 of the Listing Regulations, read with the applicable SEBI circulars, the requisite information is appended and marked as Annexure A. The Board meeting commenced at 9 am IST and concluded at 3.55 pm IST. The Company will make necessary disclosures on any material developments in this regard, from time to time.
