Dalmia Bharat Sugar and Industries has informed that the Scheme of Arrangement between Dalmia Bharat Sugar and Industries (Demerged Company or Company) and Dalmia Bharat Refractories (Resulting Company or DBRL) and their respective shareholders under Sections 230-232 of the Companies Act, 2013 (Scheme) has become effective on October 09, 2025 upon filing of the Hon’ble National Company Law Board, Chennai Bench, Order dated September 12, 2025 with the Registrar of Companies. The Appointed Date as per the Scheme is July 01, 2023. In terms of the Scheme, ‘1 fully paid-up equity share of face value of INR 10 each of the Resulting Company shall be issued and allotted for every 48.18 fully paid up equity share of face value INR 2 each held by equity shareholders of the Demerged Company.’ For determining the eligible shareholders of the Company entitled to receive the said equity shares of the Resulting Company, the Board of Directors has fixed Friday, October 31, 2025, as the Record Date.
