Pursuant to the provisions of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable circulars, HDFC Asset Management Company has informed that in terms of the approval granted by the Shareholders of the Company by passing the Special Resolution(s) by way of postal ballot on June 6, 2025, the Nomination & Remuneration Committee (‘NRC’) of the Board of Directors of the Company at its meeting held today on October 15, 2025 has approved grant of 19,730 Employees Stock Options (‘Options’) and 7,570 Performance-linked Stock Units (‘PSUs’) representing 27,300 Equity Shares in aggregate of Rs. 5/- each to the eligible employees of the Company, as determined by the NRC, under Employees Stock Options and Performance-linked Stock Units Scheme – 2025 (‘ESOP & PSU Scheme – 2025’) at a grant price of Rs. 5,594/- per Option and Rs. 5/- per PSU. The details of grant of the Options and PSUs as per ESOP & PSU Scheme – 2025 and SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, are enclosed.
