Pursuant to the provisions of Regulation 30 and Regulation 51 read with Schedule III of the Listing Regulations, Chalet Hotels has informed that the Company has today i.e. December 10, 2025 entered into (i) Share Subscription and Shareholders’ Agreement with Pro-zeal Green Power Fourteen Private Limited and Prozeal Green Power Private Limited and (ii) Power Purchase Agreement with Pro-zeal Green Power Fourteen Private Limited in respect of acquisition of 26% of the Equity Shares of Pro-zeal Green Power Fourteen Private Limited in connection with setting up of Solar Power Plant in Maharashtra. Accordingly, Pro-zeal Green Power Fourteen Private Limited has become an Associate of the Company upon acquisition of the said Equity Shares. The details as required pursuant to Regulation 30 of the Listing Regulations read with Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 with respect to said acquisition is attached as an Annexure.
