Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations and Disclosures Requirement) Regulation, 2015 (‘SEBI Listing Regulations’), Fortis Healthcare has informed that International Hospital (‘IHL’), a wholly-owned subsidiary of the Company, on December 19, 2025 at 11:25 PM (IST), signed definitive agreements for acquisition of TMI Healthcare (primarily comprises hospital operations) through a share purchase agreement and acquisition of the underlying hospital land and building, and the adjacent land thereto (‘Proposed Transaction’). The consummation of the Proposed Transaction is subject to certain customary conditions precedent and closing conditions, as agreed under the terms of the relevant definitive agreements. Details as required under SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, is enclosed as Annexure A.
