TIL has informed that the Board of Directors of the Company at its Meeting held today, 22nd December, 2025 has considered and approved the appointment of Vijay Singh Chauhan ((DIN 11405209) as a Non-Executive Independent Director of the Company for a term of 5 consecutive years, whose office shall not be liable to retire by rotation. Such appointment was recommended by the Nomination & Remuneration Committee of the Board of Directors of the Company. The details as required under Regulation 30 of the Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 (‘SEBI Circular’), are given in Annexure A to this letter. Please note that the Board Meeting commenced at 9.00 am and concluded at 9.45 am.
