In compliance with Regulation 30 and 31A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI LODR Regulations’), Bharat Agri Fert & Realty has informed that Yogendra Dahyabhai Patel (DIN: 00106864), Promoter, Managing Director and Chairperson of the Company, passed away on February 11, 2026 in Houston, USA. The Company was intimated of the same on February 12, 2026. He was holding 82,06,500 equity shares of the Company, details of which are enclosed. Yogendra Dahyabhai Patel’s passing away is an irreparable loss to the Company. All the Directors and employees of the Company convey their deep sympathy, sorrow and heartfelt condolences to his family. Further, pursuant to Regulation 31A(6)(c) of the SEBI LODR Regulations, 2015, he shall cease to be part of the Promoter/ Promoter Group of the Company. The detailed disclosure as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/CFDPoD-1/P/CIR/2023/123 dated July 13, 2023 and SEBI/HO/49/14/14(7)2025-CFD-POD2/1/3762/2026 dated January 30, 2026 as amended, is enclosed as Annexure-I.
