String Metaverse has informed that it enclosed a copy of Notice of Postal Ballot along with the explanatory statement pursuant to the applicable provisions of the Companies Act, 2013 (the Act) and SEBI Listing Regulations, for seeking approval of the Members of the Company for the Resolutions mentioned in the attached postal ballot notice. Pursuant to the provisions of Section 110 read with Section 108 and other applicable provisions, if any, of the Companies Act, 2013 (The Act) read with the Companies (Management and Administration) Rules, 2014 (Rules), Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI Listing Regulations), and the Secretarial Standard - 2 (SS-2) on General Meetings issued by the Institute of Company Secretaries of India and in accordance with the requirements prescribed by the Ministry of Corporate Affairs (‘MCA’) vide its General Circular No. 03/25 dated 22nd September 2025 (‘MCA Circular’), the Postal Ballot Notice along with the Explanatory Statement, is being sent only by electronic mode to those Members whose names appear on the Register of Members as on Friday 13th February, 2026 (Cut-off Date).
