Pursuant to Regulation 30 read with Schedule- III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, RDB Real Estate Constructions has informed that Madhu Gupta (Membership No.: A79620) has tendered her resignation from the position of Company Secretary & Compliance Officer of the Company with effect from the closure of business hours on 16th June, 2026 due to reasons specified in her Letter of Resignation dated 16th June, 2026 enclosed. Consequently, Madhu Gupta shall cease to be a Key Managerial Personnel of the Company in terms of Section 203 and other applicable provisions, if any, of the Companies Act, 2013 and Regulation 30(5) of the SEBI (Listing Obligations and Disclosures Requirements) Regulations, for the purpose of determining materiality of events or transactions requiring disclosure to the Stock Exchange, with effect from the close of business hours on Tuesday, 16th June, 2026. Further, Gupta shall also cease to act as the Nodal Officer of the Company, with effect from the close of business hours on 16th June, 2026. The Company is in the process of identifying/hiring a suitable candidate for the said position and shall inform the Stock Exchanges once the vacancy is filled up.
