Somany Ceramics has informed that meeting of the Equity Shareholders of the Company was held on Saturday, June 13, 2026 at 11:30 am (IST) through Video Conferencing (‘VC’), pursuant to the directions of Hon’ble NCLT, Kolkata Bench, vide its Order dated April 09, 2026 and Corrigendum Order dated April 24, 2026 (‘Meeting’). Based on the NCLT appointed Scrutinizer Report, the company has informed that the Equity Shareholders of the Company, in their meeting held on Saturday, June 13, 2026, have passed the resolution with requisite majority for approving the Scheme of Amalgamation, as set out in the Notice dated April 23, 2026, pursuant to and in terms of Section 230(6) of the Companies Act, 2013. The company has submitted the following: a. Scrutinizer's Report dated 19th June, 2026 on votes cast by the Equity Shareholders through remote e-voting and e-voting at the Meeting - Annexure A. b. Voting results in the prescribed format pursuant to Regulation 44 of the SEBI Listing Regulations - Annexure B.
