Samvardhana Motherson International has informed that with reference to the disclosure dated August 29, 2025, submitted by Samvardhana Motherson International Limited (Company), thereby informing with respect to acquiring, through its indirect wholly owned subsidiary namely Motherson Global Investments B.V. (MGI BV), 81% stakes with voting rights in Yutaka Giken Co., Ltd. (YGCL) and 11% stake in Shinnichi Kogyo Co., Ltd. (Shinnichi) (hereinafter referred to as Transaction). YGCL is a company duly incorporated and existing under the laws of Japan and was listed on Tokyo Stock Exchange and Shinnichi is a subsidiary of YGCL with 62% ownership held by YGCL. Further vide disclosure dated June 30, 2026, the time period for completion of afore mentioned acquisition was mentioned as the second quarter of financial year 2026-2027. In this respect, the company is to provide status update that the Voluntary Sale Permission Decision from the competent court is received on July 17, 2026. Furthermore, the payment for the fractional share transfer shall be completed in accordance with the definitive agreements executed in respect of the Transaction.
