Pursuant to Regulation 30 read with Part A of schedule III of SEBI Listing Regulations, we hereby inform you that based on the recommendation of the Nomination & Remuneration Committee, CMS Info Systems has informed that the Board of Directors of the Company has appointed William Poole VIII (DIN: 03533109) as an Additional Director, designated as an Independent Director of the Company, with effect from August 10, 2026. The proposed term of his appointment as an Independent Director will be for a period of 3 years and the appointment is subject to the approval of shareholders of the Company within the stipulated period. The details for the aforesaid change in directorate as required to be furnished pursuant to Regulation 30 of the Listing Regulations read with the SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 are enclosed as Annexure A. William Poole VIII (‘Mr. William’) satisfies the criteria of independence prescribed under the Companies Act, 2013 and SEBI Listing Regulations. Further, it has confirmed that William is not debarred from holding the office of Director by virtue of any order passed by SEBI or any other such authority.
