Nila Spaces has informed that the Board of Directors of the Company, at its meeting held on 12 August, 2026, has considered the circumstances relating to the recently concluded postal Ballot process and, as a measure of abundant caution and in the larger interest of the shareholders, has decided to place certain resolutions before the shareholders for their fresh consideration and approval at the ensuing Annual General Meeting of the Company. During the remote e-voting period in connection with the said Postal Ballot, the Company received representations from several shareholders regarding technical difficulties in accessing and using the remote e-voting facility, including difficulties relating to receipt of OTPs, repeated and abrupt logout and other access-related issues. The sharehoiders who were facing such difficulties approached the Company and demanded that an alternative facility be made available to enable them to exercise their voting rights. Considering the representations received from shareholders and with a view to safeguarding the voting rights of eligible shareholders and ensuring wider shareholder participation, the Company, in the larger interest of the shareholders, facilitated voting through postal ballot forms for such sharehotders who had reported difficulties in accessing the remote e-voting facility. The relevant facts have also been recorded in the Report dated 06 August 2026 of the lndependent Scrutinizer. lt may also be noted that the physical ballot facility originally was not part of the voting mechanism specifically communicated to all shareholders through the Postal Ballot Notice. Physical ballot forms were not dispatched to all eligible shareholders, but were facilitated subsequently only for those shareholders who approached the company citing difficulties in accessing the remote e-voting facility.
