Gujarat Themis Biosyn has informed that pursuant to the approval of the board of directors of the company at its meeting held on August 25, 2026 and approval of the shareholders of the Company by way of a special resolution passed on August 22, 2026, the Board of Directors of the Company, in its meeting held on August 25, 2026, has inter alia considered and approved the following: (i) approval and adoption of the preliminary placement document dated August 25, 2026, and the draft of application form, in connection with the QIP; (ii) authorizing the opening of the proposed Issue of such number of Equity Shares to eligible QIBs through a qualified institutions placement under Chapter VI of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended (“SEBI ICDR Regulations”) and Section 42 and 62 (1) (c) of the Companies Act, 2013, read with Rule 14 of the Companies (Prospectus and Allotment of Securities) Rules, 2014, each as amended on August 25, 2026; and (iii) approved the floor price for the QIP, as prescribed under SEBI ICDR Regulations.
