In furtherance to its letter dated September 02, 2026 and pursuant to Regulations 30 and 34(1)(a) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (as amended) (‘Listing Regulations’), Vedant Fashions has informed that the 24th Annual General Meeting (‘AGM’) of the Company will be held on Monday, September 28, 2026, at 03:00 PM (IST) through video conferencing/other audio visual means. In this regard, the company has informed that: (i) The Notice convening the AGM along with soft copy of the Annual Report of the FY 2025-26 of the Company are being sent through electronic mode (i.e., by email) to all those members whose email addresses are registered with the Company/ Company’s Registrar and Share Transfer Agent (RTA)/ Depository Participants. (ii) Further, in compliance with Regulation 36(1)(b) of the Listing Regulations, a letter providing the web-link of the Annual Report is being sent to those members who have not registered their email addresses with the Company, its RTA, or Depository Participants. (iii) The Final Dividend, as recommended by the Board, if approved by the Members at the AGM, will be paid, subject to deduction of tax at source, within the statutory period commencing from Tuesday, September 29, 2026 to shareholders whose names are registered in the Company’s Register of Members as the Beneficial Owners as per the lists to be furnished by NSDL and CDSL as at the end of business hours on Friday, September 21, 2026. (iv) The cut-off date for reckoning the voting rights of the members for remote e-voting and voting at the AGM is Friday, September 21, 2026. Further, pursuant to Regulation 34 of the Listing Regulations, we submit herewith Notice of 24th Annual General Meeting of the Company, along with Annual Report 2025-26.
