Samvardhana Motherson International has informed that this is with reference to the disclosures submitted by Samvardhana Motherson International (Company) vide letters dated August 29, 2025, October 16, 2025, August 14, 2026 and August 18, 2026, thereby, informing that Motherson Technology Services Limited (MTSL) has undertaken the process for reduction of share capital pursuant to Section 66 and other applicable provisions of the Companies Act, 2013 (Act), and subsequent approval of the reduction of share capital of MTSL by Hon’ble National Company Law Tribunal, Mumbai Bench-III. MTSL is a subsidiary of the Company. In this regard, the Registrar of Companies, Mumbai I, has issued the ‘Certificate of Registration of Order confirming Reduction of Capital’ on September 18, 2026, under Section 66 of the Act and the “Effective Date” for reduction of share capital is September 18, 2026. Further, MTSL (along with its subsidiaries) have now become wholly owned subsidiary(ies) of the Company. The above is submitted pursuant to Regulation 30(7) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
