Kotak Mahindra Bank has informed that the Bank has, today (at 3:39 pm), received a letter dated December 19, 2025 from the Reserve Bank of India (RBI) along with an order dated December 11, 2025, passed by the Adjudication Committee of Executive Directors of the Reserve Bank of India (RBI), imposing a monetary penalty of Rs. 61.95 lakh (Rupees Sixty-One Lakh Ninety-Five Thousand Only) on the Bank for non-compliance by the Bank with the Credit Information Companies Rules, 2006 and the Reserve Bank of India directions in this regard. This penalty has been imposed by the RBI in exercise of the powers conferred under section 47A(1)(c) read with section 46(4)(i) of the Banking Regulation Act, 1949 and section 25(1)(iii) read with section 23(4) of the Credit Information Companies (Regulation) Act, 2005, based on the RBI’s observations during the statutory inspection of the Bank for the financial year ended March 31, 2024. Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Axis Bank has informed that based on the recommendations of the Nomination and Remuneration Committee, the Board of Directors at its meeting held on December 18, 2025, has appointed Malavika R. Harita (DIN: 09005600) as an additional independent director of the Bank for a period of four years with effect from December 18, 2025 up to December 17, 2029, subject to approval of shareholders. In terms of Section 149(13) of the Companies Act, 2013, she shall not be liable to retire by rotation during her tenure as an independent director of the Bank. Malavika R. Harita is not related to any of the Directors or Key Managerial Personnel of the Bank. Further, in line with the Stock Exchange Circular dated June 20, 2018, it has confirmed that she is not debarred from holding the office of director by virtue of any SEBI order or any other such authority. The Board Meeting commenced at 9.00 am and the said appointment was approved by the Board at 10.00 am.
