Digjam has informed that 500,000 – 8% Non-Convertible Redeemable Preference Shares of Rs 100 each aggregating to Rs 5000,000 which were allotted to Central India General Agents by erstwhile Digjam on March 27, 2015 have now acquired 5,000,000 Voting Rights by operation of the Second Proviso to sub-section (2) of Section 47 of the Companies Act, 2013. It may be noted that the said Central India General Agents, a Promoter Group Company is also holding 16,514,000 Equity Shares and as a result now holds 23.22 % of the total Voting Rights. Accordingly, together with existing holding of equity shares, the Promoter Group now holds Voting Rights on 34,565,470 Equity Shares of Rs 10 each and 500,000 – 8% Non-Convertible Redeemable Preference Shares of Rs 100 each aggregating to 42.71 % of the total Voting Rights on Equity and Preference Shares of the Company.
