GMM Pfaudler has informed that the Board of Directors on recommendation of the Nomination & Remuneration Committee has approved the appointment of Alexander Pompner as a Non-Executive Director representing Pfaudler with immediate effect vide circular resolution passed on July 2, 2020. As per Circular dated September 09, 2015 issued by Securities and Exchange Board of India the necessary disclosure in respect of director appointed by the Company are as enclosed. The Board is of the view that Pompner is not debarred from holding the office by virtue of any SEBI Order or any other authority. In view of the appointment of Pompner as a Non-Executive Director the Audit Committee and Risk Management Committee have been reconstituted with effective from July 2, 2020. The details of reconstituted Committees are as enclosed.
