Aayush Food and Herbs has informed that it enclosed 37th Annual General Meeting of the Company will be held on Tuesday 30th November, 2021 at 11.00 am through Video Conferencing (VC)/Other Audio Visual Means (OAVM). As per Section 91 of the Companies Act, 2013 and rules notified there under and Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 the Register of Members and share transfer books of the Company will remain closed from Wednesday, November 24, 2021 to Tuesday, November 30, 2021 for the purpose of Annual General Meeting to be held on November 30, 2021. In view of the continuing Covid - 19 pandemic, the Ministry of Corporate Affairs (MCA) has vide its Circular No. 14/2020 dated 8 April 2020, Circular No. 17/2020 dated 13 April 2020, Circular No. 20/2020 dated May 5 2020 and Circular No. 02/2021 dated January 13 2021 permitted to hold Annual General Meeting (AGM) through Video Conferencing (VC) or Other Audio Video Means (OAVM), without the physical presence of the Members at a common venue. In compliance with the provisions of the Companies Act, 2013 (Act), SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI/HO/CFD/CMD2/CIR/P/2021/11 dated May 12, 2020 and January 15, 2021 respectively and MCA Circulars, the Board of the Company has decided to convene the 37th AGM of the Company on Tuesday 30th November, 2021 at 11.00 am through Video Conferencing (‘VC’)/Other Audio Visual Means (‘OAVM’) facility to transact the Business that will be set out in the AGM Notice. In compliance with the aforesaid MCA Circulars and SEBI Circular, Notice of the AGM along with the Annual Report 2020-21 is being sent only through electronic mode to those Members whose email addresses are registered with the Company/Depositories. Members may note that the Notice and Annual Report 2020- 21 will also be available on the Company’s website www.aayushfoods.com, website of the Stock Exchanges -BSE and Metropolitan Stock Exchange of India at www.bseindia.com and www.msei.in respectively.
