Prime Urban Development India has informed pursuant to Regulations 30 and 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI LODR), that the Board of Directors of the Company has at its meeting held today, i.e. on Wednesday, May 25, 2022, transacted the following businesses: considered and approved Standalone and Consolidated audited Financial statements of the Company for the quarter and year ended March 31, 2022; considered and approved appointment of Shailly Kedia (DIN: 09611376) as additional director (non-executive/independent) with effective from May 25, 2022 for a period of five years subject to members' approval in the ensuing annual general meeting; Reconstituted committees of Board of Directors of the Company; Considered and approved draft Scheme of Amalgamation pursuant to Sections 233 of the Companies Act, 2013 read with Rule 25 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, providing for the amalgamation of its two wholly owned subsidiaries, viz., ATL Textile Processors and New Line Buildtech with Prime Urban Development India. The Scheme would be subject to the requisite statutory/ regulatory approvals; and Considered and approved re-appointment of L. U. Krishnan & Co., Chartered Accountants as statutory auditors for second term of five years commencing from the conclusion of 85th Annual general meeting till the conclusion of 90th Annual general meeting, subject to members approval in the ensuing annual general meeting.
