(Transferor Company) in the ratio of one ordinary share of Rs. 10 each fully paid up of the company for two equity shares of Rs. 10 each fully paid up held by the shareholders of Transferor Company pursuant to the Scheme of Arrangement of the Transferor Company with the company duly sanctioned by the Hon'ble High Court of Calcutta. The record date for the above purpose was fixed on February 11, 2013.
