Godfrey Phillips India has informed that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company at its meeting held today, i.e. 6th July 2024, has considered and approved the appointment of Charu Modi (DIN-00029625) as an Additional Director in the category of Non-Executive Non-Independent, liable to retire by rotation, on the Board of the Company with immediate effect, to hold the office till the date of ensuing Annual General Meeting of the Company. The appointment of Charu Modi as a Director will be placed for approval of the Shareholders of the Company at the ensuing Annual General Meeting. Further, in accordance with BSE circular no. LIST/COMP/14/2018-19 and NSE circular no. NSE/CML/2018/24, both dated 20th June 2018, it is hereby confirmed that Charu Modi is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority. The details as required under Regulation 30 of SEBI Listing Regulations read with the SEBI Circular No. SEBI/HO/ CFD/CFD-PoD1/P/CIR/2023/123 dated 13th July 2023 is enclosed as Annexure-A.
