The Hi-Tech Gears has informed that Ramesh Shankarmal Pilani (DIN: 00901506), Non-Executive Independent Director of the Company, has tendered his resignation from the Board of the Company with effect from the closure of business hours of January 27, 2025. Consequently, he shall also cease to be a Member of the Corporate Social Responsibility and Stakeholder Relationship Committee. Ramesh Shankarmal Pilani has taken this decision due to certain personal reasons and has confirmed that there is no other material reason than mentioned above for his resignation. A copy of his resignation letter is enclosed herewith as Annexure- 1. Further, pursuant to the provisions of Regulation 30 read with Para A of Part A of the SEBI (LODR) Regulations,2015 and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 (“SEBI Circular”), additional details are given in Annexure-2.
