Jyoti Structures has informed that the following disclosure is made pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Schedule III thereof and SEBI Circular No. SEBI/HO/CFD/CFDPoD-1/CIR/2023/123 dated 13 July, 2023; 1. The Board vide a resolution passed through circulation on February 17, 2025 has authorized / approved discussions, negotiations, finalization of a potential one-time settlement (‘OTS’) with the lenders in terms of the extant ‘framework for compromise settlements and technical write-offs’ issued by the Reserve Bank of India. 2. The OTS is subject to existing lenders agreeing to the same. If the OTS moves toward positive direction, the company shall raise resources to give effect to the OTS.
