Pursuant to Regulation 30 read with Part- A of Schedule III of SEBI (listing Obligation and Disclosure Requirements) Regulations, 2015, Nimbus Projects has informed that the Board of Directors of the Company, at its meeting held on today, February 24, 2025 has approved the withdrawal of amount of capital contribution of Rs 3,37,50,000 from IITL Nimbus, The Hyde Park, Noida, a joint venture partnership firm, (the firm) in one or more tranches as may be required by the company provided that control over in terms of percentage of capital contribution of the company in the firm shall remain same. The details as required under Listing Regulations read with SEBI/HO/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 with respect to entering into tripartite agreement is attached as ‘Annexure-A’.
