Benares Hotels has informed that the 54th AGM of the Company will be held on Tuesday, August 12, 2025 at 3.00 pm (IST) through Video Conferencing/ Other Audio-Visual Means. Pursuant to Regulation 42 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company has fixed Tuesday, August 5, 2025, as the Record Date for determining entitlement of Members to dividend for the financial year ended March 31, 2025. If the dividend as recommended by the Board of Directors is approved at the AGM, payment of such dividend, subject to deduction of tax at source, will be made on or after Friday, August 22, 2025. i. To all Beneficial Owners in respect of shares held in electronic form as per the data as may be made available by the National Securities Depository and the Central Depository Services (India) as at the close of business hours on Tuesday, August 5, 2025; and ii. To all those Members holding shares in physical form, whose names appear in the Company’s Register of Members after giving effect to valid transmission or transposition requests lodged with the Company as at the close of business hours on Tuesday, August 5, 2025.
