In relation to its letter dated March 3, 2025 informing about the approval granted by the Board of Directors of the Company, based on the recommendations of the Audit Committee and the Independent Directors Committee, to the aforementioned Scheme presented under Sections 230 to 232 read with Section 66 and other relevant provisions of the Companies Act, 2013 (‘the Act’) and the Rules framed thereunder. In this regard, Pradeep Metals has informed that the Company has received a letter from BSE with ‘No Adverse Observations’ on July 15, 2025. The copy of the said observation letter has been enclosed. The copy of the said observation letter will also be made available on the website of the Company at https://pradeepmetals.com/scheme-of-amalgamations. The Scheme remains subject to applicable regulatory and other approvals.
