In continuation to earlier intimation dated May 09, 2025, relating to approval by the Board of Directors of the Company for entering into a Joint Venture Agreement with Hayashi Telempu (Hayashi) by formation of a Joint Venture Company (JV Company) in India for manufacturing of auto components including Ambient Light, Carpet, Dash Inner, Rear Shade, Tonner Cover etc and pursuant to the Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, NDR Auto Components has informed that said JV Company has been incorporated in the name of ‘NDR Hayashi Automotive India Private Limited’ vide Certificate of Incorporation dated October 10, 2025 issued by Registrar of Companies, Central Registration Centre. The detailed disclosure as required under Regulation 30 read with Schedule III of SEBI (LODR) Regulations, 2015 and SEBI Master Circular no. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, is enclosed as Annexure I.
