Pursuant to the Regulation 30 read with Para A of Part A of Schedule III of the SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015, as amended from time to time, Ishan Dyes And Chemicals has informed that, Anisha Jain, Whole Time Company Secretary (CS) and Compliance Officer (CO) of the Company had tendered her resignation from the said post with effect from the close of business hours of Tuesday, 27th January 2026 to pursue alternate career opportunities. Further, it has informed that the Company has accepted her resignation and a note of the same will be placed before the Board of Directors in the ensuing Board Meeting of the Company. She had confirmed that there are no other material reasons for the resignation other than those provided in her resignation letter. A copy of Resignation Letter giving detailed reasons for her resignation is attached as Annexure-1 along with this Disclosure. Further, the details required under the Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November 2024 are, in respect of aforesaid resignation are enclosed. Anisha Jain will also cease to be Key Managerial Personnel under the provisions of Section 203 and other applicable provisions, if any, of the Companies Act, 2013 and Regulation 30(5) of the SEBI LODR Regulations for determining the materiality of any event or transaction for making the required disclosures to the Stock Exchange with effect from close of business hours of 27th January 2026.
