Banaras Beads submits intimation of forfeiture of partly paid-up equity shares

In continuation of earlier intimation letters, Banaras Beads has informed that the company had sent ‘Reminder cum Final Call Notice’ dated. 10.07.2025 to all the partly paid shareholders and thereafter sent Second Final Reminder cum Forfeiture Notice to all the remaining partly paid shareholders, stating that last opportunity to make payment of un-paid allotment/Call Money including share premium amounts latest by 25th December 2025, failing which shares will be forfeited. The company has made clear to shareholders in its Last Second Final reminder-cum for feature notice that non-payment of allotment/call money including premium amounts would attract forfeiture in accordance with the provision of the Companies Act 2013 and the Article of Association of the Company. Besides said Second Final reminder notice the company has not received Rs 193500 against allotment/call money and premium amounts Rs 1025275 from 387 shareholders having 38700 shares. Therefore, the board of directors at their meeting held on 29.01.2026 decided to forfeiture said 38700 partly paid equity shares having face value of Rs 10 each on which allotment/call money and premium have not received by the company, along with the amounts already paid-up including premium on such partly paid-up equity shares. The list of partly paid-up shareholders with folio and other details is attached. The notice of forfeiture shall be issued in due course to the holders of such partly paid-up equity shares on which allotment/call money remains unpaid.
