Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), Swan Corp has informed that the Members of the Company vide its Postal Ballot Resolution dated 19th May, 2026 has approved the following: 1. Regularisation of the appointment of Bhagwati Sharma (DIN: 09632127) as Non-Executive Independent Director of the Company; 2. Regularisation of the appointment of Ashish Chhabria (DIN: 11564611) as Non-Executive Independent Director of the Company. In furtherance to intimation dated 23rd March, 2026 and 25th March, 2026 regarding the appointment of Bhagwati Sharma (DIN: 09632127) and Ashish Chhabria (DIN: 11564611) respectively, the Members of the Company, through a Postal Ballot Resolution passed on 19th May, 2026, have approved the regularisation of the appointment of Bhagwati Sharma (DIN: 09632127) and Ashish Chhabria (DIN: 11564611) as a Non-Executive Independent Director of the Company, not liable to retire by rotation for a first term of 5 consecutive years commencing from 23rd March, 2026 and 25th March, 2026 respectively. Upon declaration of the results of the Postal Ballot, the resolutions are deemed to have been passed on the last date specified for e-Voting i.e. 19th May, 2026. The details as required under Regulation 30 of the Listing Regulations read with SEBI Circular HO/49/14/14(7)2025- CFD-POD2/I/3762/2026 dated 30th January, 2026, are enclosed as ‘Annexure A’.
